Understand the terms and conditions that govern your use of Acculogics products, services, and website.

1. Agreement to Terms

By using the Services, you represent and warrant that you have read, understood, and agree to be bound by these Terms. If you do not agree to these Terms, you must not use the Services.

If you are using the Services on behalf of an organization, you represent and warrant that you have authority to bind that organization to these Terms, and "you" will refer to that organization.

2. Eligibility

You may use the Services only if you are at least 18 years old (or the age of majority in your jurisdiction) and have the legal capacity to enter into a binding contract. You are responsible for ensuring that your use of the Services complies with all applicable laws and regulations.

3. Accounts and Security

To access certain features, you may be required to create an account. You agree to provide accurate, current, and complete information and to keep it updated. You are responsible for safeguarding your login credentials and for all activities that occur under your account.

You agree to notify us promptly of any unauthorized access to or use of your account. We are not liable for any loss or damage arising from your failure to protect your account credentials.

4. Use of the Services

Subject to these Terms, Acculogics grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Services for your internal business purposes.

4.1 Prohibited activities

  • Using the Services in violation of any applicable law;
  • Uploading or transmitting any content that is unlawful, harmful, infringing, defamatory, or otherwise objectionable;
  • Attempting to gain unauthorized access to the Services or related systems;
  • Interfering with or disrupting the integrity or performance of the Services;
  • Reverse engineering or attempting to derive the source code of any part of the Services, except to the extent permitted by law;
  • Using automated systems to access the Services in a manner that sends more requests than a human could reasonably produce in the same period;
  • Misrepresenting your identity or affiliation with any person or organization.

5. Customer Data and Content

"Customer Data" means any data, content, documents, files, or information that you or your users submit to or through the Services. You retain all rights to Customer Data, subject to the limited license described below.

You grant Acculogics a non-exclusive, worldwide, royalty-free license to host, copy, use, process, transmit, and display Customer Data as reasonably necessary to:

  • Provide, maintain, and improve the Services;
  • Prevent or address technical, security, or support issues;
  • Comply with legal obligations; and
  • Enforce these Terms and protect our rights.

6. AI and LLM Features

Some features of the Services may rely on artificial intelligence and large language models (LLMs) to generate suggestions, summaries, or other outputs.

  • AI-generated content may be inaccurate, incomplete, or inappropriate and should be reviewed by you before use.
  • AI-generated content is provided for informational purposes only and does not constitute professional advice (including legal, financial, or medical advice).
  • You are solely responsible for how you use AI-generated content and for ensuring that such use complies with applicable laws and your own policies.

7. Fees and Payment

If you purchase a paid subscription or other paid Services, you agree to pay all fees described at the time of purchase, plus any applicable taxes. Unless otherwise specified, fees are billed in advance and are non-refundable.

We may change our pricing from time to time. Any changes to fees will apply to subsequent billing periods, and we will provide advance notice where required by law or contract.

8. Intellectual Property

The Services, including all software, design, text, graphics, logos, and other content (excluding Customer Data and third-party content), are owned by or licensed to Acculogics and protected by intellectual property laws.

Except for the limited rights expressly granted in these Terms, no rights are granted to you in or to the Services or any related intellectual property.

9. Third-Party Services

The Services may integrate with third-party services, products, or websites. Your use of third-party services is governed by their own terms and privacy policies. We are not responsible for and do not endorse third-party services.

10. Disclaimer of Warranties

The Services are provided on an "AS IS" and "AS AVAILABLE" basis, without warranties of any kind, whether express, implied, or statutory.

To the maximum extent permitted by law, Acculogics disclaims all implied warranties, including any implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Services will be uninterrupted, secure, or error-free, or that defects will be corrected.

11. Limitation of Liability

To the maximum extent permitted by law, Acculogics will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, revenues, data, or business opportunities, arising out of or related to your use of the Services.

In no event will Acculogics's total aggregate liability arising out of or relating to these Terms or the Services exceed the amounts you have paid to us for the Services in the twelve (12) months preceding the event giving rise to the claim.

12. Indemnification

You agree to indemnify, defend, and hold harmless Acculogics and its affiliates, officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses, including reasonable attorneys' fees, arising out of or related to:

  • Your use of the Services;
  • Your violation of these Terms; or
  • Your violation of any applicable law or third-party right.

13. Termination

We may suspend or terminate your access to the Services at any time if we reasonably believe you have violated these Terms, if we are required to do so by law, or if continued provision of the Services is no longer commercially viable.

Upon termination, your right to use the Services will immediately cease. Certain provisions of these Terms that by their nature should survive termination will survive, including those relating to ownership, warranty disclaimers, limitations of liability, and indemnification.

14. Changes to These Terms

We may update these Terms from time to time. When we do, we will revise the "Last updated" date at the top of this page. Your continued use of the Services after any changes become effective constitutes your acceptance of the updated Terms.

15. Governing Law

These Terms and any dispute arising out of or related to them or the Services will be governed by and construed in accordance with the laws applicable in the jurisdiction where Acculogics is organized, without regard to its conflict of law principles.
